    The Associate General Counsel supports all of Aerojet Rocketdyne's Space business with respect to federal procurement law issues, including prime and subcontracts with the U.S. Government. The Associate GC reports directly to the General Counsel, Space and must work cooperatively with other AR counsel, as well as independently with client representatives. The Associate GC will be involved in commercial contracts, litigation and claims, and related areas such as compliance, mergers and acquisitions, and other transactions. This position is viewed as a potential succession candidate for the General Counsel, Space position.

    Essential Job Functions (Including % of Time for Each)

    35% - Provides advice and counsel to Senior and Operating management and, when required, to suppliers, team members, and customers as it relates to U.S. government contract law. Principal areas of responsibility will include: (1) policy and regulatory interpretation; (2) contract review and negotiation; (3) evaluation of joint venture, partnerships, and teaming agreements; (4) the analysis of claims; and (5) the resolution of contract disputes.


    20% - As required, may attend and participate in important business negotiations; collaborate and/or manage outside legal counsel on various legal matters; assist in the negotiation and administration of intellectual property rights and/or patents granted to other companies.


    15% - As an active participant in the legal department, will also advise on the legal aspects of international trade compliance, data rights, trademarks, copyrights, sales agreements, trade regulations and anti-trust laws, purchasing, credit, tax insurance and property matters, personnel (labor) and public relations.


    10% - Will assist with compliance and training matters on U.S. government contracts and specific regulatory procedures.


    10% - Will assist and if required, lead the management of contract litigation.


    10% - Will require modest travel to multiple Aerojet Rocketdyne sites around the U.S., particularly those on the West Coast (Sacramento,CA and Redmond WA).


    Bachelor’s degree and a Law degree, with an emphasis in federal procurement law and commercial contracts.


    Minimum of 12 years of experience as an attorney with previous experience in U.S. government contracts. Specific experience in the areas of U.S government procurement law and litigation (bid protests, equitable adjustments, cost and pricing, and breach of contract) is required. Experience in other areas of commercial contracts and transactions, as well as Space law is desirable, although not required. 


    Candidates with at least 3-5 years of in-house experience at each a Federal Contractor and major law firm will be given a strong preference. Relevant active duty military/government experience (JAG or other) is preferred as well.


    Must have strong communications, analytical, negotiations, and problem solving skills.


    US Citizenship required. Must be able to obtain and maintain a U.S. Security Clearance at the appropriate level (U.S. Citizenship required). Must also be able to satisfy federal government requirements for access to government information, and having dual citizenship may preclude you from being able to meet this requirement.


    Work Environment/Physical Requirements:

    Employees in these positions must possess mobility to work in a standard office setting and to use standard office equipment, including a computer; stamina to sit and to maintain attention to detail despite interruptions; may occasionally lift/carry/push/pull up to 15 pounds; may require minimal walking, climbing, stooping, crouching, and/or bending; and vision to read printed materials and a computer screen, and hearing and speech to communicate in person and over the telephone. May require the ability to travel by air or auto. May require the use of personal protective equipment such as safety glasses, safety shoes, and shop coat. These positions may be expected to work varying shifts and hours to ensure successful operation of activities in the organization.
